3.2 UEI grants you a non-exclusive license to use, copy, create derivative works of, display, and distribute the Content in ways that further our educational mission, provided that: (a) such use is non-commercial, (b) you provide appropriate credit to UEI, and (c) if the Content contains credit or attribution to third-party creators, you abide by all license agreements set forth by those third parties.
3.3 This website contains registered and unregistered trademarks, service marks, and logos belonging to UEI and third parties (the "Trademarks"). You agree not to display or use the Trademarks in any manner without our prior written consent.

Treat others with respect and compassion
Refrain from harassment, threats, or abusive language
Respect the privacy and experiences of others
Not post content that is unlawful, harmful, or violates the rights of others
We reserve the right to remove content or restrict access to anyone who violates these standards.
5. External Links
This website may contain links to third-party websites ("External Sites"). We suggest contacting those External Sites directly if you have any concerns regarding such links or content.
6. Copyright Complaints
UEI respects the intellectual property rights of others. The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the internet infringes their rights under U.S. copyright law. Notices must meet the statutory requirements imposed by the DMCA (see http://www.copyright.gov for details). Notices should be sent to: nadalee@theuei.org
7. Disclaimer of Warranties
Although we make great efforts to ensure that this website functions properly and serves as a resource for our global community, you expressly understand and agree that:
7.1 This website is provided on an "as is" and "as available" basis. UEI expressly disclaims all warranties of any kind, whether express or implied.
7.2 UEI makes no warranty that: (a) the website will meet your requirements, (b) the website will be uninterrupted, timely, secure, or error-free, (c) information obtained from the use of the website will be accurate or reliable, or (d) any errors in the software will be corrected.
7.3 Any content downloaded or otherwise obtained through use of the website is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such content.
7.4 No advice or information, whether oral or written, obtained by you from UEI or through this website shall create any warranty not expressly stated in this Agreement.
8. Limitation of Liability
8.1 UEI, its directors, officers, volunteers, and agents (the "Parties") shall not be liable for any damages whatsoever (including, without limitation, incidental and consequential damages) resulting from the use or inability to use this website and its Content, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if such Party has been advised of the possibility of such damages.
8.2 Some states do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. In such states, the liability of the Parties shall be limited to the greatest extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless UEI and its directors, officers, volunteers, and agents from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, arising or resulting from your breach of this Agreement or your access to, use, or misuse of the Content or website. We will provide you with notice of any such claim, suit, or proceeding. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification under this section. In such cases, you agree to cooperate with any reasonable requests in assisting us.
10. Termination
10.1 We reserve the right to restrict, suspend, or terminate this Agreement and your access to all or any part of the website or Content at any time and for any reason without prior notice or liability. We also reserve the right to change, suspend, or discontinue all or any part of the website or Content at any time without prior notice or liability.
10.2 The provisions regarding "Use of Website Content," "Disclaimer of Warranties," "Limitation of Liability," "Indemnification," "Termination," and "Miscellaneous" will survive the termination of this Agreement.
11. Compliance with Applicable Laws
Although UEI's community is global, this website is based in the United States. We make no claims concerning whether the Content may be downloaded or viewed outside of the United States. Whether inside or outside of the United States, you agree to be solely responsible for ensuring compliance with the laws of your specific jurisdiction.
12. Miscellaneous
12.1 This Agreement is governed by the internal substantive laws of the State of Tennessee, without respect to its conflict of laws provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in Greene County, Tennessee.
12.2 If any provision of this Agreement is found to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions of this Agreement.
12.3 If UEI fails to act on or enforce any provision of this Agreement, it shall not be construed as a waiver of that provision or any other provision. No waiver is effective against UEI unless it is made in writing.
12.4 Except as expressly agreed by UEI and you, this Agreement constitutes the entire agreement between you and us with respect to the subject matter and supersedes all previous or contemporaneous agreements, whether written or oral.
